Terms & Conditions – Dexitt Brand Design

Effective Date: June 7, 2025

Welcome to Dexitt Brand Design, a South African-based graphic design studio founded by Jaun Dewitt. By engaging our services, you agree to the following Terms & Conditions.

1. Services Provided

Dexitt Brand Design offers a range of creative services, including:

• Brand Identity Design
• Marketing & Advertising Materials
• Social Media Graphics
• Print Design
• Presentations & Documents
• Brand Consulting

2. Client Responsibilities

• Provide accurate and timely information for project completion.
• Respond to communication, review drafts, and give feedback within agreed timeframes.
• Ensure any content supplied does not infringe on copyrights or third-party rights.

3. Project Scope & Revisions

• Each project includes a specific number of revisions as outlined in the proposal or agreement.
• Additional revisions beyond the agreed scope will be quoted separately.
• Major changes after design approval may be considered a new project.

4. Intellectual Property & Copyright

• Upon full payment, you receive the rights to the final approved design deliverables.
• Dexitt Brand Design retains rights to:
  • Use completed projects in portfolios, social media, and promotional material
  • Retain ownership of working files (e.g., .AI, .PSD) unless otherwise agreed in writing
  • All unused design concepts remain the property of Dexitt Brand Design

5. Payment Terms

• A 50% deposit is required to begin work. Final balance is due within 7 calendar days of project completion/invoice.
• Payments can be made via EFT (details provided on invoice).
• Late payments may incur a 5% late fee per week overdue.
• Deposits are non-refundable once work has commenced.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project, unless legally required to disclose.

7. Limitation of Liability

Dexitt Brand Design is not liable for:

• Any indirect, incidental, or consequential damages
• Errors in content provided by the client
• Loss of data or profits due to the use of delivered designs
• Total liability shall not exceed the amount paid by the client for the project

8. Termination & Cancellation

• Either party may terminate a project with written notice.
• The client is responsible for payment of all work completed up to the termination date.
• The initial deposit is non-refundable. If the project is near completion, the balance may still be owed.

9. Force Majeure

Dexitt Brand Design shall not be held liable for delays or failure to perform due to causes beyond reasonable control (e.g., acts of God, power outages, illness, internet disruption, etc.).

10. Governing Law & Dispute Resolution

These terms are governed by the laws of the Republic of South Africa. In the event of a dispute, both parties agree to first attempt resolution informally. If unsuccessful, the matter may be escalated to arbitration or the courts of South Africa.

11. Amendments

Dexitt Brand Design reserves the right to update these Terms & Conditions. Clients will be notified of material changes.
